Terms of Use

1. What Magimica is

Magimica is a personal planning and follow-through service operated by Perboc Inc., Québec enterprise number 1177319895, at 5441 rue Waverly, Montréal, Québec H2T 2X8, Canada ("Perboc", "we", "us" or "our"). It helps you define objectives, turn them into missions, arrange dates and dependencies, review completed work, and request artificial-intelligence-assisted planning suggestions and objective illustrations.

Magimica is a planning aid. It does not perform your work, guarantee an outcome, or replace your own judgment. By creating an account or using the service, you agree to these Terms of Use and acknowledge the Privacy Policy. If you do not agree, do not use Magimica.

2. Your account

You must be at least 18 years old and legally able to enter into this agreement where you live. Magimica is not offered to minors, and you must not create an account for a minor.

You must provide a valid email address and create a secure password. You are responsible for keeping your credentials confidential and for activity performed through your account. Tell us promptly if you believe your account has been compromised. Do not create an account for another person without permission, impersonate someone else, or use the service unlawfully.

3. Your objectives and missions

The objectives, missions, dates, dependencies, notes, completion records and other planning information you enter remain yours. You grant Perboc a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, transmit, display and back up that information only as reasonably needed to provide, secure, maintain and improve Magimica and comply with law. This licence ends when the information is deleted from our active systems, except for lawful retention and backup periods.

Do not enter content you do not have the right to use, content that is unlawful or abusive, or highly sensitive information that is not needed for personal planning. Magimica is not designed as a medical record, financial vault, legal case-management system or emergency service. You represent that you have the rights needed for content you submit and that our permitted processing will not violate another person's rights.

Perboc and its licensors own Magimica, including its software, interface, visual design, brand, documentation and underlying technology. These Terms give you a limited, personal, revocable, non-transferable right to use the beta; they do not transfer ownership of Magimica. As between you and Perboc and to the extent permitted by law and applicable provider terms, you may use AI output generated for you, but output may not be unique or protectable and we do not guarantee that it is non-infringing. If you voluntarily provide feedback, you allow Perboc to use it without restriction, attribution or compensation.

4. Artificial intelligence features

Magimica uses OpenAI services to suggest missions, split work into smaller steps, and generate objective illustrations. Depending on the feature, objective and mission text, target dates, estimates, existing deliverables, accepted sub-missions and optional context may be sent to OpenAI to produce the result. Do not submit confidential, regulated or highly sensitive information to an AI feature.

AI output is probabilistic. It may be incomplete, unsuitable, inaccurate, offensive or unexpectedly similar to existing material. It is not professional, medical, legal, financial or emergency advice. Review every suggestion before relying on it. You decide whether to accept, edit or discard generated content, and you remain responsible for the plans and actions you choose.

5. Acceptable use

You must not misuse Magimica, interfere with its operation, probe or bypass security controls, access another person's account, introduce malicious code, automate abusive request volumes, scrape or harvest data, reverse-engineer protected parts of the service except where law expressly permits it, or use the service to violate another person's rights. You must not use Magimica or its AI features to create unlawful, fraudulent, abusive, exploitative or harmful material.

We may remove content or limit, suspend or terminate access when reasonably necessary to protect users, Perboc, the service or third parties, investigate suspected abuse, comply with law, manage technical or security risk, or address a material breach of these Terms.

6. Availability and changes

Magimica is an evolving beta service. Features may be added, changed, limited or removed without guaranteeing backward compatibility, and we may perform maintenance or experience interruptions. We may impose reasonable usage limits, particularly on AI features. You should keep your own copy of information you cannot afford to lose. We do not promise uninterrupted, secure or error-free availability.

We may update these Terms as the beta and business model evolve. If a change materially affects your rights, we will identify the new effective date and, where appropriate, provide notice in the service or by email. Changes do not apply retroactively unless permitted or required by law. Continuing to use Magimica after revised Terms take effect means you accept them.

7. Fees and future paid features

Magimica is currently offered free of charge as a beta. Free access is not guaranteed permanently, and beta features or limits may change. If paid features are introduced, their price, currency, billing period, renewal, cancellation and refund terms, and any additional conditions will be shown before you are charged. We will not charge you merely because you accepted these Terms.

8. Disclaimer and responsibility

To the fullest extent permitted by law, Magimica and all content and AI output are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or results. We do not warrant that plans, suggestions, illustrations or review insights will be accurate, complete, secure or suitable for your circumstances.

To the extent permitted by law, you are responsible for losses and third-party claims arising from content you submit, your unlawful use of Magimica, or your material breach of these Terms, and you agree to defend and indemnify Perboc and its directors, officers and employees against those claims. This obligation does not apply to the extent a claim results from Perboc's own fault or where applicable consumer law prohibits it.

To the fullest extent permitted by law, Perboc and its directors, officers, employees and service providers will not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, loss of data, revenue, opportunity, reputation or anticipated savings arising from Magimica. Perboc's aggregate liability relating to the service will not exceed the greater of CAD $100 and the amount you paid Perboc for Magimica in the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply where prohibited by law, including liability that cannot be excluded for intentional or gross fault, bodily or moral injury, or mandatory consumer rights.

9. Ending use and account data

You may stop using Magimica and sign out at any time. Account-deletion tooling is not yet available in the current profile menu. Until it is available, you may send a verified deletion request to contact@pebroc.com or by mail to Perboc at the address below, marked “Privacy Officer.” Deletion is subject to legal requirements, security needs and technically reasonable backup or system-removal periods described in the Privacy Policy.

We may terminate or suspend an account for a breach of these Terms, a security or operational risk, unlawful use, prolonged inactivity, discontinuation of the beta, or where required by law. Where reasonably possible and appropriate, we will provide notice. Upon termination, your right to use Magimica ends, while provisions that by their nature should survive will remain in effect.

10. Québec law and general terms

These Terms and any dispute relating to Magimica are governed by the laws of Québec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to mandatory consumer protections, the courts located in the judicial district of Montréal, Québec have exclusive jurisdiction. Nothing in this clause deprives a consumer of protections or a forum that cannot legally be waived.

These Terms and the Privacy Policy are the entire agreement about the current service. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue in effect. A delay in enforcement is not a waiver. You may not transfer your account or this agreement without our permission. Perboc may assign them as part of a financing, reorganisation, merger, sale or transfer of the service, subject to applicable law.
